BYLAWS
OF THE
FLORENCE E. SMITH SCHOOL OF SCIENCE, MATH & TECHNOLOGY
PARENT-TEACHER ORGANIZATION

ARTICLE 1. NAME

This organization shall be known as the Parent-Teacher Organization, herein the "PTO."

ARTICLE II. PURPOSE

The purpose of this organization shall be to further the education and well-being of students of the Florence E. Smith School (herein referred to as Smith School) by encouraging and coordinating Parent involvement and support for Smith School students, families, teachers, staff and programs.

ARTICLE Ill. MEMBERSHIP IN THE PARENT-TEACHER ORGANIZATION

All Parents or guardians (herein Parents) of students, teachers, and administrators at Smith School shall be eligible for PTO membership and the Executive Board will assess dues annually as set the Board.

ARTICLE IV. PARENT-TEACHER ORGANIZATION EXECUTIVE BOARD

The PTO will elect officers of the Executive Board, who shall act as a liaison among the members of the PTO, Teachers (and staff), Parents, Students, and Administrators of Smith School.

ARTICLE V. MEMBERSHIP ON THE PARENT-TEACHER ORGANIZATION EXECUTIVE BOARD

The PTO Board shall have a minimum of 10 individuals and a maximum of twenty individuals. The Nominating Committee may select more than one person to fill a position, but when a vote of the PTO Board is taken, each individual shall have one vote.

ARTICLE VI. PTO EXECUTIVE BOARD

The Executive Board of the PTO shall consist of the President/Co-Presidents, Vice-President (s)/Principal, Treasurer. Recording Secretary, Corresponding Secretary, Fundraising Coordinator, Room Parent Coordinator, Volunteer Coordinator, PT Council Representative, and Board of Education Representative.

Each shall be official members of the PTO and shall be current with membership dues.

ARTICLE VII. MEMBERS OF THE PTO EXECUTIVE BOARD

Section 1. President/Co-Presidents

The duties of the President/Co-Presidents shall be:

• To meet with the Principal to determine the agenda for PTO meetings.
• To preside over meetings
• To enforce the due observance of the bylaws
• To call special meetings
• To represent the PTO at town wide related meetings and events
• To perform such duties as the office may require

Section 2. Vice President(s)

The duties of the Vice-President(s) shall be:

• To meet with the Principal to determine the agenda for PTO meetings
• To assist the Treasurer
• To represent the PTO at town wide related meetings and events
• To perform such duties of the President as may require
• To perform the duties of President (s) in event of the inability of the President(s) to serve

Section 3. Treasurer

The duties of the Treasurer shall be:

• To monitor and provide monthly reports of the finances of the PTO Executive Board
• To oversee the preparation of an annual budget for the PTO
• To keep an accurate record of receipts and expenditures by the PTO

Section 4. Recording Secretary

The duties of the Secretary shall be:

• To keep accurate records of each meeting
• To be custodian of all meetings, reports and documents
• To keep attendance records of each meeting

Section 5. Corresponding Secretary

The duties of the Secretary shall be:

• To take care of correspondence
• To provide updates for the PTO News on the Smith School website
• To assist with publicity for events and activities throughout the school year
• To notify members of regular meetings
• To support school events by providing hospitality at designated events

Section 6. Room Parent Coordinator

The duties of the Room Parent Coordinator shall be:

• To serve as a supportive resource to classroom Teachers
• To serve as a liaison between Teachers and Parents to facilitate classroom events
• To work on special projects to engage Parents in PTO and School-sponsored events

Section 7. Volunteer Coordinator

The duties of the Volunteer Coordinator shall be:

• To recruit Parent volunteers for PTO committees, events and activities
• To distribute the names of these volunteers to the Chairpersons or these committees, events and activities.
• To maintain a list of annual events that require Parent volunteers
• To facilitate communication between Parents, Teachers, and the PTO as it relates to events and activities

Section 8. PT Council Representative

It shall be the duty of the PT Council representative to attend monthly town-wide PT Council meetings and carry out duties as assigned by Council for each school representative and provide updates to the Smith School PTO Executive Board.

Section 9. Board of Education Representative

It shall be the duty of the Board of Education representative to attend monthly Board of Education meetings and carry out duties as assigned by Board of Education for each school representative and provide updates to the Smith School PTO Executive Board.

Section 10. Teacher Representative

It shall be the duty of the Teacher Representative to attend PTO meetings and speak on behalf of Smith School teachers on PTO matters.

Section 11. Non-Liability of Directors

The PTO Executive Board shall not be liable for the debts, liabilities and/or other obligations of the Organization.

Section 12. Quorum

A majority of the PTO Executive Board members shall constitute a quorum and any action by the majority may constitute the action of the Board.

ARTICLE VIII. TERM OF OFFICE OF PTO EXECUTIVE BOARD

All members of the PTO Executive Board shall serve for a period of at least two years. A member of the PTO Board may be ejected to serve another consecutive term. No person shall serve more than three consecutive terms on the PTO Board

The term for members the PTO Executive Board shall commence at the final PTO Board meeting of the school year

ARTICLE IX. VACANCIES

A vacancy occurring in any office of the Executive Board shall be filled for the balance of that term by a person nominated by the Nominating Committee with the approval of the Executive Board.

A person filling a vacant position shall serve in that position until the end of the term of that position.

ARTICLE X. COMMITTEES

The Executive Board as required to carry out the work of the PTO may create committees. The President (s) or Vice-President (s) shall be an ex officio member of all Committees. The PTO Executive Board shall approve the appointment of Committee chairpersons, which shall include the following positions as required:

Section 1. Nominating Committee

The duties of the Nominating Committee shall be:

• To act as a liaison between the Parents and the PTO Board
• To act in coordination with the Parents and teachers to seek out other Parents to identify Parents who may be interested in serving on the PTO Board
• To coordinate activities and social events related to the nomination of officers
• To bring to the PTO Board issues of concern related to the election of officers for the Board
• To provide a slate of nominees for election of officers for the PTO Executive Board

Section 2. Book Fair Committee

The duties of the Book Fair Chairperson shall be to coordinate an annual Book Fair with proceeds to benefit Smith School students and the library.

Section 3. Events Chairpersons

Events may be chaired by Executive Board Members or designated Events Chairperson(s). The responsibilities shall be:

• To serve as a liaison between the Executive Board, Parents, Teachers, and Staff to help coordinate events
• To coordinate activities PTO-supported events including, but not limited to:
    o Math & Science Night
    o The Sock Hop
    o Bingo Night
    o World of Food
    o Spring Fair
• To report all receipts and expenditures to the Treasurer

ARTICLE XI. NOMINATING COMMITTEE

Section 1. Membership of the Nominating Committee

The Nominating Committee shall consist of PTO members who are not members of the Executive Board. When possible, efforts should be made to include representatives from the various grade le’ represented at Smith School.

Section 2. Nominations

The Nominating Committee shall make nominations to the PTO Executive Board by the last day of March each year, in accordance with guidelines established and approved by the PTO. Nomination the Executive Board and other members of the PTO shall require ratification by a majority vote of if Smith School Parents.

At the April or May meeting, the PTO Executive Board and the Nominating Committee shall present a slate of members for the PTO members for the following term. A majority vote in favor of such nominations by those in attendance at such meeting shall be required for ratification of the Nominating Committee slate.

ARTICLE XII. MEETINGS

General (Full) meetings of the PTO shall be held at least twice a year in conjunction with a Fall and Spring PTO Executive Board meeting.

The PTO Executive Board shall meet at least once per calendar year with consideration for the December, February and April vacation schedules. Monthly meets are ideal. The meetings shall be open to all Smith School Parents. Executive Boards members at the first meeting of the newly elected board members shall determine dates and times.

The Smith School Parents and Teachers shall be apprised of the meeting dates at the beginning of the school year.

ARTICLE XIII. OPERATING BUDGET

Section 1. Fiscal Year

The fiscal year of the Organization shall be July 1 — June 30.

Section 2. Operating Budget

The incoming Executive Board members shall establish the operating budget with the assistance of the outgoing President/Co-Presidents and Treasurer. The PTO shall approve said budget.

ARTICLE XIV. AMENDMENTS TO THE BYLAWS

The Bylaws may be amended at any regular or special meeting of the PTO Executive Board by a two-thirds vote of the members present, provided that the proposed changes have been presented for discussion at the previous meeting of the PTO Board and that written notification of the proposed vote has been given to the Board at least seven (7) days in advance of the meeting at which the amendments are to be voted upon. The amendments become effective upon approval.

ARTICLE XV. PARLIAMENTARY AUTHORITY

Robert’s Rules of Order Revised shall govern the Association in all cases in which they are applicable and in which they are not in conflict with these Bylaws.

ARTICLE XVI. MISCELLANEOUS

Any situation not specifically defined in the aforementioned Articles shall be resolved by a majority vote of the members present at a meeting of the PTO Executive Board, provided the PTO Board has been informed of the vote at the previous meeting.
